One.Compare and select goods

The goods to be sold in this comparison and selection project are a batch of scrapped fixed assets of Sichuan Fiberglass Group Co.,Ltd.(Hereinafter referred to as the"Seller"),including glue dipping unit,cooling unit,resin reaction equipment,loom,warping machine,ribbon loom,etc.In this comparison and selection,the bid is made for the package of the scrapped fixed assets that the seller needs to dispose of,and the transaction price and the transactor are determined through unified comparison and bidding.In this selection,the highest bidder and the bidding price of the bid are the transaction price and the bidder.The Seller will sign the Sales Contract for Scrapped Fixed Assets of Sichuan Fiberglass Group Co.,Ltd.with respect to part of the selected project equipment within 15 days from the date of announcement of the results of this comparison and selection.

Two.Overview of goods and services

1.The goods include dipping unit,cooling unit,resin reaction equipment,loom,warping machine,ribbon loom,etc.The main components are scrap iron.The total weight is estimated to be 145 tons.They are sold in packages.The Seller makes no commitment to the specific weight and component content of the project equipment.The above data is only for the reference of the candidate when quoting.The specific settlement weight and component content are subject to the actual weighing number and component content.

2.After the announcement of comparison and selection is put on the Internet,the seller can organize the candidates who intend to register(one candidate sends one representative)to gather at the gate of the group company at 10:00 a.m.on April 18 to check the goods at the company's placement points,and conduct a visual evaluation of the appearance of the project equipment by themselves,so that the candidates can determine the quotation for selection.

3.Project equipment stacking location:Composite Material Factory,Industrial Company,Fiber Workshop,Special Fiber Factory and Industrial Fabric Factory of Sichuan Fiberglass Group Co.,Ltd.

III.Conditions of transaction

1.Transaction price:determine the unit price(yuan/ton)according to the highest quotation of the successful bidder,and determine the total weight according to the actual weighing quantity of the project equipment,i.e.:total weight×unit price=transaction price.

2.Settlement method:from the purchaser to the fund finance department of the seller in cash in RMB.

Settlement of payment for goods.

3.Terms of payment:After the contract is signed,the purchaser shall settle the payment for the goods at the same time according to the quantity of the weighing list before each delivery.(Note:The goods pulled by the industrial fabric factory shall be pulled back to the weighbridge of the Storage and Transportation Department of the headquarters of the seller's group company for weighing accompanied by the staff of the Storage and Transportation Department.)After all the goods are pulled and the payment is settled,the seller shall issue a 13%VAT invoice to the buyer within 5 working days.

4.Weight calculation:Both parties agree that the seller shall weigh the goods at the weighbridge of the Storage and Transportation Department,and the handover personnel of both parties shall sign for confirmation(Note:the goods of the special fiber factory shall be weighed at the weighbridge of the special fiber factory).

5.Transportation mode and expenses:The purchaser shall be responsible for the cutting,disassembly,handling,packaging,transportation,disposal and other matters of all project equipment,and shall bear the transportation and other related expenses.If necessary,the seller can provide forklift assistance within the scope of the company.

6.Delivery(delivery)time:After the contract is signed,the seller shall notify the buyer to pick up(deliver)the goods at the designated place,and the buyer shall complete all the delivery(delivery)matters at one time.

7.Place and method of delivery(delivery):

Location:Composite material factory,industrial company,fiber workshop,special fiber factory,industrial fabric factory.

Method:The Seller shall complete the delivery after the Buyer cuts and carries the goods according to the method specified by the Seller.

8.Packing matters:The purchaser shall be responsible for the packing matters of the goods,and the relevant expenses shall be borne by the purchaser.The buyer shall be responsible for the loss of goods,damage or personal injury caused by improper packaging.

9.Liability for breach of contract:

(1)If the purchaser fails to take delivery of the goods within the time agreed in the contract and fails to take delivery for more than 5 days after being urged,the seller has the right to terminate the contract and refuse to refund the deposit.

(2)If the Buyer fails to pay all the goods at the agreed time,it shall bear the liability for breach of contract at 1%of the payable and unpaid goods for each day of delay;if the Buyer fails to pay the goods after 10 days of delay,the Seller shall have the right to terminate the contract and require the Buyer to continue to bear the liability for breach of contract in accordance with the aforementioned proportion.

(3)If the seller fails to deliver the goods within the time stipulated in the contract and fails to complete the delivery within 30 days after being urged by the seller,the buyer has the right to request the termination of the contract and to request the seller to double the deposit.

(4)Other cases of breach of contract and liability shall be implemented in accordance with the relevant provisions of the Civil Code.

10.Dispute settlement:Any dispute arising from the performance of the Contract shall be settled by both parties through negotiation;if negotiation or mediation fails,both parties shall have the right to bring a lawsuit to the people's court with jurisdiction in the place where the Seller is located.The losing party shall bear the attorney's fees,litigation fees,agent's travel expenses and other expenses paid by the winning party in order to realize its litigation claims,which are in accordance with the law and have valid vouchers.

11.Integrity clause

Both parties shall fulfill their obligations related to integrity in strict accordance with the laws,regulations and policies of the state,and shall report violations to the competent authorities for accountability.

IV.Other requirements for completing the above work

1.The dispatched personnel of the purchaser shall obey the arrangement of the seller,abide by the rules and regulations of the factory,and be responsible for the safety problems in the seller's factory;

2.After loading and unloading,the purchaser must clean up the surrounding environment of the site;

3.The Seller has the right to check the relevant certificates and qualification certificates of the shipping personnel;

4.The transshipment and disposal of the purchaser must comply with the environmental protection regulations.The purchaser shall be fully responsible for the environmental protection problems arising from the transshipment and disposal.

5.The purchaser shall apply for an operation ticket at the Safety and Environmental Protection Department of the company and pay a deposit before carrying out hot work or aerial work.

6.Part of the equipment contains inflammables,and it is strictly prohibited to cut this part in the seller's company.

7.The two glass fiber reinforced plastics in the goods stacking place of the special fiber factory are also part of the scrapped fixed assets,which must be disposed of by the purchaser free of charge for the seller.

5.Acquisition of eligibility for election

1.For those who intend to participate in the bidding,please remit a deposit of 60000 yuan to the account designated by the seller(bank of deposit:Luojiang Branch of ICBC,bank account:2305368109022103080)during the period from 08:00:00 on April 7,2023 to 17:30:00 on April 26,2023.When remitting money,the contact person receiving the notice and his mobile phone number should be noted,and the name and purpose of the project should be indicated.

2.Those who fail to remit the deposit within the time limit will not be eligible to participate in the election.

3.Provisions on deposit for election

(1)Candidates shall not modify or revoke their election documents in violation of the procedural provisions after the deadline for submission of the election documents for this project and before the announcement of the successful candidate(purchaser).The quotation shall not be withdrawn in violation of the procedural provisions.

(2)After being determined as the winner(purchaser),the candidate shall sign a performance contract with the seller in strict accordance with the provisions of the announcement,shall not terminate or terminate the contract without the consent of the seller,shall not substantially modify the content of the document and the quotation,give up the selection,or refuse to sign a contract with the seller,and in case of violation of the provisions,the election deposit will not be returned.If it is still insufficient to make up for the economic losses caused to the seller,the seller shall have the right to recover from the dealer.

(3)Candidates shall participate in the election in strict accordance with the provisions of the election announcement,and shall not participate in the election by malicious collusion or malicious consultation in violation of relevant laws and regulations.

If a candidate violates the above provisions,the deposit will be used as the amount of his liability for contracting negligence,which will not be refunded in full,and additional compensation will be required if it is insufficient to bear the liability for compensation for losses.Without violating the above provisions,the deposit will be refunded without interest according to the bank information at the time of remittance within 30 days from the date of publication of the results of this election.If the candidate is determined to be the winner(purchaser),the election deposit will be automatically converted into the contract deposit.

VI.Comparison and Selection Procedure

1.The on-site comparison and selection meeting will be held at 09:00 on April 27,2023 at the fourth meeting room of Sichuan Fiberglass Group Co.,Ltd.,No.39,Jingle South Road,Wan'an Town,Luojiang District,Deyang City.(Note:Candidates who arrive later than the meeting time will be disqualified.)

2.When the number of candidates reaches or exceeds 3,the Bidding Office will start to set up a review team;if the number of candidates is less than 3 when the deadline for submission is up,the selection will fail.

3.When the candidates arrive at the meeting site,they will sign in at the staff.

4.After the reviewers are in place,the Bidding Office shall organize the reviewers to elect the leader of the review team,and the Bidding Office shall introduce the review items,review methods and standards.

5.The leader of the review team and the bid supervisor shall confirm and register the identity of the candidates at the meeting site.

(1)When participating in the bidding as an enterprise,the identity of the legal representative participating in the bidding must be confirmed by the Business License,the Legal Person Identity Certificate(see Annex 1 for details)and the copy of the identity card;the identity of other personnel must be confirmed by the Business License,the Power of Attorney(see Annex 2 for details)and the copy of the identity card.The above materials are required to be stamped with the fresh seal of the enterprise.

(2)When participating in the bidding as an individual,the information for identity confirmation is the Personal Commitment Letter(see Annex 3 for details).The above information shall be printed with fingerprints.

6.The organizer of the seller's on-site meeting announces the start of the first round of bidding.The bid list and identity confirmation information shall be filled in by the candidate and submitted to the organizer.

Each round of bidding of the candidate shall not be lower than the public base price of the project.If the bidding is lower than the public base price,which is a malicious negotiation in violation of the selection procedure,the seller will disqualify him from the selection,and the deposit will be used as his liability for contracting negligence and will not be refunded;

After the results of the first round of bidding have been registered,the organizers will present them to all the candidates.The lowest bidder loses the election and will not enter the next round of competition.

Under special circumstances,when two or more candidates are the lowest bidders,the seller guarantees the competitiveness of the project,and the unsuccessful candidates are willing to participate in the next round of bidding,the organizer has the right to eliminate one of them by drawing lots.

7.The organizer announces the start of the second round of bidding.Candidates who are qualified to enter the second round shall fill in the form,affix their fingerprints and submit it to the organizer.

Candidates entering the current round shall not bid lower than their first round bid,otherwise,their behavior is a malicious negotiation in violation of the election procedure,and the election deposit will be regarded as their liability for contracting negligence and will not be refunded;

After the results of the second round of bidding have been registered,the organizers will present them to all the candidates.

The organizer announces the second round of the highest bid and its candidates,determines the final selection price,the winner,and the end of the election.

VII.Comparison base price and contract price

The base price of this selection is 2200 yuan/ton,and the bid of the candidate below the base price will be rejected,and the candidate shall bear the responsibility in accordance with the provisions of the second paragraph of Article 6.6 of this selection announcement.

The transaction price is the actual weight of the scrapped equipment multiplied by the transaction unit price.

VIII.Composition of the Review Committee

Composition of the review committee:3 persons.The evaluation committee is formed by the candidates themselves.

IX.Media for Announcements

The announcement was published on the portal website of Sichuan Fiberglass Group Co.,Ltd.

10.Publicity of Selection Results

The release media is the same as the announcement release media,and the publicity time is 5 days.The notice of selection shall be issued to the winner within 3 days after the end of the publicity without objection.
